Distance Sales Agreement

This Distance Sales Agreement ("Agreement") governs the remote sale of the OpenRez cloud subscription service under Turkish Law No. 6502 on Consumer Protection, the Regulation on Distance Contracts, and applicable 2026 rules.

It includes pre-contract information shown on the checkout screen together with plan, billing period, installment, and total price details.

2. Buyer

The natural or legal person identified by the company, address, tax/identity, and contact details provided during signup and checkout.

3. Subject matter

Provision of the OpenRez software-as-a-service (SaaS) subscription for the selected plan (Starter / Pro / Enterprise), billing period (monthly, yearly, or three-year), and price shown at checkout.

The service is a digital software product covering reservation management, channel integrations, and modules included in the subscription.

4. Main characteristics, price, and taxes

Service features are shown on the plan comparison and order summary screens.

Total price, VAT status, and installment count (if any) are displayed in detail at checkout; the amount at confirmation is binding.

Installment fees and interest, if any, follow the card issuer’s tables.

5. Payment and collection

Payment may be made by card, bank transfer (EFT/wire), crypto (USDT), or international redirect checkout providers.

Card payments are collected through a licensed payment/e-money institution under Turkish law ("Payment Institution").

The cardholder expressly authorizes collection for the selected installment and billing period. The Payment Institution collects on behalf of the Seller.

6. Performance (delivery)

The digital service is activated via the registered email and admin account after payment approval or trial start.

Activation is typically completed within 24 hours of payment confirmation; the Buyer is notified of any technical delay.

7. Right of withdrawal

Buyers acting as consumers may withdraw within 14 (fourteen) days without giving any reason under Law No. 6502.

For digital services performed immediately in electronic form, where the Buyer has given explicit consent to start performance and has been informed about withdrawal limits, withdrawal may not apply after performance begins (Law 6502 Art. 15/ğ).

8. Subscription term, renewal, and termination

The subscription runs for the selected billing period; if auto-renewal applies, the next period fee is collected with prior notice.

Price changes are notified by email at least 7 days in advance. The Buyer may terminate from the next billing period via the admin panel or support channels.

9. Defects, refunds, and chargebacks

Defective performance is handled under Law No. 6502 and the Regulation on Distance Contracts.

Contact Seller support first. Card issuer dispute procedures remain available for unauthorized or undelivered service claims.

10. Complaints and dispute resolution

Consumer buyers may apply to Consumer Arbitration Committees and Consumer Courts within monetary limits announced by the Ministry of Trade.

11. Personal data

Payment data is processed by the Payment Institution under PCI-DSS; the Seller does not store full card numbers. The KVKK notice and privacy policy apply.

12. Entry into force

The Buyer accepts this Agreement electronically at checkout. The confirmation date is the contract formation date.
